Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software, and related services offered by MapForce ("MapForce," "we," "us," or "our") at mapforce.io and associated domains (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

Our Privacy Policy describes how we handle personal information and is incorporated by reference where applicable.

The Services

We provide tools and services to help you manage and optimize presence and campaigns on third-party platforms (such as map and navigation products). Features, availability, and integrations may change. We may suspend or discontinue parts of the Services with reasonable notice where practicable.

Accounts and access

You may need an account to use certain features. You are responsible for safeguarding credentials and for activity under your account. You agree to provide accurate information and to notify us promptly of unauthorized use.

Acceptable use

You agree not to:

• Violate applicable law or third-party terms (including platform policies);
• Upload or transmit malware, spam, or unlawful, infringing, or misleading content;
• Probe, scan, or test the vulnerability of the Services without authorization;
• Interfere with or disrupt the Services or other users' access;
• Attempt to gain unauthorized access to systems, data, or accounts;
• Use the Services to harass, discriminate, or harm others;
• Reverse engineer the Services except where prohibited by law.

Your content

You retain ownership of content and data you submit ("Customer Content"). You grant MapForce a non-exclusive license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Services. You represent that you have the rights needed to grant this license and that Customer Content complies with these Terms and applicable law.

Third-party services

The Services may integrate with or depend on third-party platforms and providers. Those services are governed by their own terms and policies. We are not responsible for third-party products, APIs, or changes they make.

Fees and payment

If you purchase paid Services, fees, billing cycles, and taxes are as stated in your order or agreement. Unless otherwise specified, fees are non-refundable except as required by law. We may change pricing with notice in accordance with your agreement.

Intellectual property

MapForce and its licensors own the Services, including software, branding, and documentation, subject to the limited rights granted in these Terms. No rights are granted except as expressly stated.

Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAPFORCE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR SPECIFIC BUSINESS OUTCOMES (INCLUDING RANKINGS OR TRAFFIC ON THIRD-PARTY PLATFORMS).

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAPFORCE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MAPFORCE FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT HAD PAYMENT OBLIGATIONS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Indemnity

You will defend, indemnify, and hold harmless MapForce and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Services in violation of these Terms or law, or your violation of third-party rights.

Termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or as otherwise permitted by your agreement. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive termination.

Governing law

These Terms are governed by the laws of the jurisdiction specified in your separate written agreement with MapForce, if any; otherwise, by the laws of the Province of British Columbia, Canada, excluding conflict of law rules. Courts in that province have exclusive jurisdiction, subject to mandatory consumer protections where applicable.

Changes

We may modify these Terms by posting an updated version on this page and updating the "Last updated" date. If changes are material, we will provide additional notice where appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.
